These terms govern the use of Anvero, an AI answer and AI visibility service provided by OmniPATH AI Ltd (“OmniPATH”, “we”, “us”), a company registered in England and Wales (company number 14126969) with its registered office at The Henley Building, Newtown Road, Henley on Thames, RG9 1HG.
They form a contract between us and the organisation that signs up or uses the Service (“you”). Anvero is for business use only. By accepting these terms you confirm that you are acting for a business, not as a consumer, and that you have authority to bind it.
1. Definitions
- Service: the Anvero platform, its modules (Answer, Reach, Listen, Act and Convert), the Answer widget, the WordPress plugin, the free AI Visibility Audit and any related services we provide.
- Order: the plan, sites, add-ons and fees you choose online or agree in an order form.
- Site: a website you register with the Service under your Order.
- Customer Content: the content you publish or give us — website pages, documents, voice profile, people and offer details — that the Service indexes or uses.
- Visitor Data: questions and other information from visitors to your Sites, processed through the Answer widget.
- Output: answers, drafts, meta suggestions, briefs, reports, scores, recommendations and other material the Service generates.
2. The Service
We provide the Service as described on anvero.ai and in your Order. We keep developing it, and we may change, add or withdraw features at any time. If a change materially reduces the core features of your plan during a paid term, we will tell you, and you may cancel and receive a refund of prepaid fees for the unused part of the term. That is your only remedy for such a change.
Features marked “Next” or described as on the roadmap are plans, not commitments.
3. Your account
- You choose who has access. You are responsible for everything done under your account, by your users or by anyone using their sign-in, and for keeping their email accounts secure.
- Agencies: if you manage Sites for clients, you confirm you have each client’s authority to connect their Site and data. You remain responsible to us for those Sites, and you are responsible to your clients for how you use the Service on their behalf.
4. Plans, fees and payment
- Fees are charged per Site under the plan and add-ons in your Order, in advance, monthly or annually. Annual billing costs 11 times the monthly fee: 12 months for the price of 11.
- Free trial: the Starter plan includes a 7-day free trial. We take a card at sign-up and charge it when the trial ends, unless you cancel before then. Other plans are charged from sign-up.
- Setup: you can install Anvero yourself with the WordPress plugin or a script tag, at no cost. If you ask us to, a one-off setup fee covers our technical support and developer implementation, as set out in your Order.
- Add-ons, such as Media or removing the “Powered by Anvero” badge, are charged as set out in your Order.
- Fees exclude VAT, which we add where it applies. Payments are taken through Stripe. Fees are payable without set-off or deduction.
- If a payment is more than 14 days overdue, we may suspend the Service after giving you notice, and charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- We may change our prices from your next renewal, with at least 30 days’ notice.
5. Usage allowances
Each plan includes an approximate monthly allowance of questions. We will warn you at 80% of your allowance. If you go over, answers keep flowing so your visitors never see a dead widget. If your usage is consistently above your allowance, we may move you to a plan that fits from your next billing period, with notice.
6. The free audit
The free AI Visibility Audit scans public websites only and is rate-limited. Its scores and recommendations are indicative measurements taken on the date shown, provided free of charge, as they are, with no warranty of any kind. You decide whether and how to act on them, and you do so at your own risk. To the extent the law allows, we have no liability for the audit or anything done in reliance on it. Don’t use it to overload or test sites in ways their owners wouldn’t allow.
7. Your content, your site and your decisions
- You keep ownership of your Customer Content, and you are solely responsible for it: its accuracy, its legality, and your rights to use it.
- You give us a licence to host, copy, index and process Customer Content to provide and improve the Service, including sending it to AI providers to generate Output for you.
- You are responsible for your Sites and everything published on them, including anything you approve, publish or switch on through the Service.
- You are responsible for what you do with the Service. Every decision to act on Output, publish it, implement a recommendation, change your site, content, metadata, robots.txt, firewall, CDN or crawler settings, or rely on an answer or measurement is yours, and so are its consequences.
- You are responsible for complying with the laws that apply to your business, your Sites and your sector, including advertising, consumer protection, accessibility, professional and regulatory rules.
- You are responsible for telling your visitors about the Answer widget in your own privacy notice, and for any consent your use of the Service requires.
- You are responsible for keeping your own copies of your content and data. The Service is not a backup service.
8. AI-generated Output
- Output is generated by AI and can be wrong, incomplete or out of date. Answer composes answers from your indexed content and shows its sources, but AI can still make mistakes. Output is general information, not professional, legal, financial, medical or other advice, and you must not present it as such.
- Review before you rely. You must review Output before you publish it, rely on it or let visitors rely on it. You control the voice profile, scope, next steps and caveat the widget shows, and you are responsible for keeping them and your content accurate and appropriate.
- Drafts, meta and automated features. Drafts, meta suggestions and briefs are published only when you approve them. Automated features you choose to turn on (such as llms.txt, structured data and IndexNow) act on your instruction and on your behalf. You are responsible for everything you approve, publish or enable.
- Your visitors. Answers given to visitors on your Sites are given by you. You are responsible to your visitors for them, and for any decision a visitor makes based on them.
- Ownership. As between us, you own the Output generated for you, to the extent the law allows. Similar Output may be generated for other customers.
9. Measurements and third-party AI engines
Reach scores, Listen rates, Vitals figures and audit results are measurements taken on a stated date using a stated method. AI engines and search engines are run by third parties we don’t control, and their behaviour changes without notice. We don’t guarantee rankings, mentions, citations, recommendations, traffic, leads, sales or any other result in third-party engines or on your Sites, and we are not liable for any change in them, including after you implement a recommendation.
10. Integrations and third-party services
The Service works with third-party services such as WordPress, Base44, Google Search Console, Google Analytics 4, Bing Webmaster Tools, IndexNow, CRMs and booking tools you connect, Stripe and AI providers. Their own terms apply to your use of them. We use read-only access to your Google data, and you can disconnect any integration at any time. We are not responsible for third-party services, their availability, or changes they make, and we may stop supporting an integration if the third party changes or withdraws it.
11. Acceptable use
You must not, and must not let anyone else:
- use the Service unlawfully, or to mislead, harass or harm people;
- index content you don’t have the right to use, or try to make the widget present things you haven’t published as fact;
- try to access other customers’ data, break or bypass our security, limits or spend caps, or overload the Service;
- reverse engineer the Service, except where the law allows;
- resell the Service, unless you are on an Agency plan managing Sites for your clients;
- use the free audit, Listen or any Output to build a competing product or dataset.
12. Branding
The Answer widget shows a small “Powered by Anvero” line on the Starter, Growth and Professional plans unless you buy the badge-removal add-on. It is hidden on Scale. White-label branding on Agency plans applies once it is available. Please don’t remove or hide the badge other than through your settings.
13. Data protection
Each of us will comply with UK data protection law, including the UK GDPR and the Data Protection Act 2018.
For Visitor Data and any personal data in Customer Content, you are the controller and we are your processor. You are responsible for having a lawful basis for that processing and for giving your visitors the information the law requires. Our privacy policy explains how we handle personal data as a controller.
14. Confidentiality
Each of us will keep the other’s confidential information confidential and use it only for this contract. This doesn’t apply to information that is public, already known, independently developed or required to be disclosed by law.
15. Our intellectual property
We own the Service, its software, models, prompts, methods, scoring and everything we develop for it, except your Customer Content and Output. We give you a non-exclusive, non-transferable licence to use the Service for your business during your subscription. If you send us feedback, we may use it freely, without obligation to you.
16. Availability and support
We use reasonable efforts to keep the Service available and to give notice of planned maintenance, but we don’t promise that it will be uninterrupted, error-free or always available. Support is by email at support@omnipath.ai; the Scale plan includes priority support. No service-level commitment or service credits apply unless your Order includes them.
17. Suspension
We may suspend access, with notice where practical, if fees are overdue, if your use breaches section 11, if it puts the Service, other customers or third parties at risk, or if the law requires it. We will restore access when the issue is resolved. Fees remain payable during a suspension caused by you.
18. Term, renewal and cancellation
- Monthly subscriptions renew each month and annual subscriptions each year, until you cancel. You can cancel at any time from your account’s billing settings or by emailing support@omnipath.ai; cancellation takes effect at the end of the period you have paid for. Cancelling during a free trial means you are not charged.
- We may end the contract for any reason on 30 days’ notice, and refund prepaid fees for the unused part of the term.
- We may end the contract immediately if you materially breach it and don’t fix the breach within 14 days of notice, if you breach section 11, or if you become insolvent. You may end it if we materially breach it and don’t fix the breach within 30 days of notice.
- When the contract ends, your access stops. You can export your data for 30 days, after which we delete it within 90 days, except what we must keep by law.
- Fees are non-refundable, except where these terms say otherwise.
19. Warranties
We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service, Output, measurements and the free audit are provided “as is” and “as available”, and all other warranties, conditions and terms, whether express or implied by statute or otherwise (including satisfactory quality, fitness for a particular purpose and accuracy), are excluded.
20. Liability
- Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law doesn’t allow us to limit or exclude.
- We are not liable for any indirect or consequential loss, or for loss of profit, revenue, sales, business, contracts, goodwill, reputation, anticipated savings, or data, however caused.
- We are not liable for any loss arising from: Customer Content; your Sites; decisions you or your visitors make based on Output, measurements or the audit; recommendations, changes or features you choose to implement, approve or enable; the behaviour of third-party AI engines, search engines or integrations; or your breach of these terms.
- Our total liability under or in connection with this contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited in any 12-month period to the fees you actually paid us for the Service in the 12 months before the event giving rise to the claim. For the free audit and any free trial, it is limited to £100.
- Any claim against us must be brought within 12 months of the date you became aware, or should reasonably have become aware, of the facts giving rise to it.
- These limits don’t apply to your obligation to pay fees, to your indemnities in section 21, or to your breach of section 11 or of our intellectual property rights.
- You agree these limits are reasonable, taking into account the fees, the nature of AI-generated Output, and your control over what you publish and implement.
21. Indemnities
- You will defend us, and indemnify us against all claims, losses, damages, costs (including reasonable legal fees) and fines arising from: Customer Content; your Sites; your use of the Service or Output, including anything you approve, publish, implement or enable; answers given to your visitors; your breach of section 11 or of data protection law; and, for agencies, claims by your clients.
- If a third party claims that the Service, used as allowed, infringes their intellectual property rights in the UK, we will defend that claim. We may instead modify the Service so it no longer infringes, get you the right to keep using it, or end the contract and refund prepaid fees for the unused part of the term. This doesn’t cover claims caused by Customer Content or by combining the Service with things we didn’t supply. This is our only liability for such claims, and it is subject to section 20.
- The party claiming must tell the other promptly, let them run the defence and give reasonable help.
22. Publicity
We may name you as a customer and show your logo on our website and in sales materials. Tell us at support@omnipath.ai if you’d rather we didn’t, and we will stop. We will only describe your use of Anvero in detail, such as in a case study, with your permission.
23. Changes to these terms
We may update these terms. We will give you at least 30 days’ notice of a material change. If you don’t accept a change, you may cancel before it takes effect and we will refund prepaid fees for the unused part of the term; otherwise the updated terms apply from that date.
24. General
- These terms and your Order are the whole agreement between us about the Service. You confirm you haven’t relied on any statement not set out in them. If they conflict, the Order wins.
- You may not assign this contract without our consent. We may assign it, or transfer it to a buyer of our business, and use subcontractors and sub-processors.
- Neither of us is liable for delays or failures caused by events beyond our reasonable control, including failures of AI providers, hosting, networks or other third-party services.
- Notices go to the email addresses in your account and, for us, to support@omnipath.ai.
- If any part of these terms is unenforceable, the rest still applies, and the unenforceable part applies to the fullest extent the law allows.
- Nothing in these terms creates a partnership or agency. No one else has rights under them under the Contracts (Rights of Third Parties) Act 1999.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
